Pre-transaction due diligence that focuses on attempting to identify potential deal breakers, industry and deal specific risks and opportunities
Structuring services including analyzing the terms of transaction related agreements
Post-transaction services such as helping clients integrate a new acquisition into existing operations, tighter and smarter cash flows and working capital management, purchase price negotiations, and potential offerings, to name a few.
The experience gained on this assignment will be invaluable for developing enhanced technical, client service, and relationship-building capabilities as well as valuable exposure to a fast pace environment with high visibility and interaction with leading M&A practitioners, National Office consulting resources, industry specialists and senior management of some of our most prestigious clients.

DEVELOPMENTAL NATURE OF THE ASSIGNMENT:
Provide in depth exposure and further development in knowledge related to SEC reporting and accounting issues such as (FASB, EITF, SEC Rules and Regulations), specifically as it relates to key areas of focus such as: Business combinations, Recapitalizations, Stock Compensation plans, Revenue Recognition, Capitalization of software development costs, Deferral of Costs, IPR&D, Restructuring Reserves, Impact of Transaction of EPS, Treatment of Equity and quasi Equity Instruments, Beneficial conversion features, Imbedded Derivatives etc.
Provide opportunity to further develop strong analytical skills such as an ability to identify and evaluate business, industry, financial, accounting to tax risk related to transactions
Provide opportunity to further develop strong proficiency in decision making with the appropriate level of research and consultation
Obtain more knowledge and high-level experience related to the application of transaction related agreements, professional, legal and regulatory literature and procedures applicable in the local market place to ensure appropriate risk management
Experience orchestrating a multi-disciplinary team of highly talented professionals
Understand our leading edge approach to due diligence and deal process
Experience: Candidate Must Have :
Four years external audit experience in public accounting.
SEC reporting experience.
One year plus of U. S. GAAP
Additional Information :
External audit experience cannot be more than three years old. CPA a plus
